dNut Inu Pre-Sale
Terms and Conditions
Effective date: August 2025
Important notice
- Your payment is a contribution, not a purchase, an investment or a loan. Once the soft cap is reached it is non refundable, and you cannot request a refund at any time. See section 4.
- There is no guaranteed launch date and no deadline of any kind. Timing depends on market conditions, judged by dnut llc.
- There is no promise of profit, listing price, liquidity, exchange availability, or any return.
- You may lose the entire amount you contribute. Only contribute what you can afford to lose completely.
- By clicking "Buy", you accept these Terms and Conditions. If you do not accept every one of them, do not contribute.
1. Agreement to these terms
These Terms and Conditions (the "Terms") govern your participation in the dNut Inu pre-sale (the "Pre-Sale") operated by dnut llc ("we", "us", "our", the "Company").
By clicking "Buy", you accept these Terms and Conditions.
Acceptance also occurs by sending funds to any address published by us in connection with the Pre-Sale. In each case you confirm that you have read, understood and agree to be bound by these Terms in full. Connecting a wallet alone is not acceptance and commits you to nothing. If you do not agree, you must not click "Buy" and must not contribute.
These Terms form a binding agreement between you and the Company. They apply in addition to any other notices, disclosures or risk warnings published on our website.
2. What a contribution is, and what it is not
Your payment is a voluntary contribution to the development and launch of the dNut Inu project (the "Project"), and is non refundable on the basis set out in section 4. It is made to support the Project. It is not consideration for goods or services, and it is not the purchase of any asset.
A contribution is expressly not any of the following:
- a purchase, sale or exchange of a token or any other asset
- a security, share, bond, note, debenture, unit in a collective investment scheme, derivative, or any other regulated financial instrument
- a loan, deposit, or extension of credit to the Company
- an equity stake, ownership interest, profit share, dividend right, or any claim over the Company, its assets or its revenues
- an investment, or a contract carrying any expectation of profit
- a guarantee, promise or commitment that any token will ever be created, issued, distributed, listed or made tradable
You receive no ownership, governance, voting, management or economic rights in the Company by contributing, and you are not entitled to any share of the Company's profits, revenues or assets.
3. Use of the word "pre-sale"
We use the words "pre-sale", "buy", "purchase", "price", "sold" and similar words on our website and in our communications because they are the common vocabulary of the cryptocurrency sector and are the terms participants expect and search for.
These words are used as industry shorthand only. They do not change the legal nature of what you are doing. No sale takes place. You are making a contribution as described in section 2, which is non refundable on the basis set out in section 4. Where any website wording appears to conflict with these Terms, these Terms prevail.
4. Refunds and the soft cap
The Pre-Sale has a published soft cap of $50,000 in total contributions. Whether and when the soft cap has been reached is determined by our records, and our determination is final.
You cannot request a refund at any time, whether before or after the soft cap is reached. There is no cooling off period and no right to change your mind once a contribution has been sent.
Once total contributions reach the soft cap, all contributions become final and non refundable in all circumstances. This includes contributions made before the soft cap was reached. From that point no contribution can be cancelled, reversed, withdrawn or refunded, in whole or in part, for any reason.
Without limiting the above, once the soft cap is reached no refund is available because of: a change of mind; a change in the value of any cryptocurrency; the passage of time; delay to the launch; a change to the Project, its plans, its branding or its mechanics; your own error, including sending funds from an exchange, sending an unsupported asset, sending on an unsupported network, or sending to an incorrect address; your loss of access to your wallet; or your becoming ineligible under these Terms.
Before the soft cap is reached, if we decide not to proceed with the Pre-Sale or the Project, we may return contributions then held by us to the wallet addresses they were received from, less any costs, fees and expenses already incurred. Any such return is made at our sole discretion. It is not a guarantee, it creates no debt or entitlement owed to you, and it does not apply to funds already spent or committed.
You waive, to the fullest extent permitted by law, any right of withdrawal, cancellation or refund that might otherwise apply.
5. Timeline
No launch date was agreed and none forms part of these Terms. No date, deadline, timeframe, milestone or schedule of any kind is promised.
Launch timing is determined by market conditions. We judge those conditions in good faith, with the aim of launching the Project in conditions we consider favourable, and we will use reasonable efforts to develop and launch it. The period between your contribution and launch may be short or very long, and we are not required to launch within any particular period.
You acknowledge that no launch date was agreed and that timing depends on market conditions. Delay of any length does not constitute a breach of these Terms and does not entitle you to a refund or to any compensation.
Any date, estimate, roadmap, phase or timeframe mentioned anywhere by us or on our behalf is an indication of current intention only, is not a promise, and may change without notice or liability.
6. No promise of value or return
We make no representation, warranty or promise of any kind that any token will have value, hold value, reach any particular price, be listed on any exchange, have liquidity, be tradable, or be convertible into any currency or asset.
Any figure published in connection with the Pre-Sale, including a contribution rate, a reference price, a listing price, a soft cap or an allocation, is an administrative figure used to calculate allocations. It is not a valuation, a price guarantee, a forecast, or a promise of future worth.
Nothing published by us constitutes financial, investment, legal, tax or accounting advice, and no fiduciary, advisory, agency, trust or partnership relationship exists between you and the Company.
7. Acknowledgement of expectations
You acknowledge and agree that you have been clearly informed of, and have accepted, each of the following before contributing:
- that your contribution cannot be refunded on request, and that it is non refundable once the soft cap is reached
- that no launch date was agreed, that no deadline forms part of these Terms, and that timing depends on market conditions
- that delay of any length is a disclosed and accepted feature of the arrangement, and does not constitute a breach of these Terms
- that you are not relying on any statement, representation, promise or assurance that is not expressly set out in these Terms
- that you have made your own enquiries and taken your own advice, and are not relying on the Company to protect your interests
8. Eligibility
By contributing, you represent and warrant that:
- you are at least 18 years old and have full legal capacity to enter into these Terms
- you are not a resident of a sanctioned country, and you are not participating on behalf of any such person
- you are not subject to any sanctions administered or enforced by any government, and are not listed on any sanctions list
- your participation is lawful in every jurisdiction that applies to you, and it is your sole responsibility to confirm this
- the funds you contribute are lawfully yours and are not derived from any unlawful activity
- you are not contributing with any expectation of profit or return
We may refuse, restrict or reverse participation, or decline to make any distribution, where we reasonably believe a contributor does not meet these requirements, without that creating any entitlement to a refund beyond the return of the specific funds at our discretion.
9. Compliance checks
We may at any time require identity verification, source of funds information, or other documentation in order to meet legal obligations or internal policy, including before making any distribution. We may withhold a distribution until such checks are completed to our satisfaction.
We may report information to regulators or law enforcement where required, and may decline to deal with any wallet or person flagged by a screening tool or sanctions list.
10. Contribution limits and allocations
The Pre-Sale has a published minimum and maximum contribution, a published contribution rate, and a total allocation of 30,000,000 dNut, which at the published rate corresponds to a maximum of $150,000. These figures may be corrected where they have been published in error.
Any allocation recorded against your wallet is an internal record of your contribution. It is not a token, not a transferable right, and not a debt owed to you. It confers no rights other than those described in these Terms.
The soft cap is a minimum contribution target. Reaching it does not trigger any obligation, deadline or commitment of any kind, and in particular does not oblige us to launch or to launch by any date. Its only effect under these Terms is the one described in section 4, which is that contributions become final and non refundable once it is reached.
11. Token allocation and the right to adjust
We reserve the right to adjust the allocation of tokens outside the Pre-Sale allocation at our discretion, including reallocating between reserves and assigning portions of a reserve to new mechanics within the Project.
The allocation reserved for Pre-Sale contributors will not be reduced. Adjustments are made within the existing total supply and do not create new supply.
Published tokenomics, distribution tables, burn mechanics, vesting arrangements and related figures describe current intentions and may change, other than the Pre-Sale allocation described above.
12. Distribution and vesting
If and when a token is launched, distribution to contributors will be made on the vesting arrangement published at the time, to the wallet address from which the contribution was received unless we agree otherwise.
We may vary the mechanics, timing, phasing or method of distribution where we consider it necessary or appropriate, including for technical, security, operational, tax or regulatory reasons.
We are not responsible for any distribution that cannot be delivered because of an inaccessible, incorrect, incompatible, frozen or lost wallet, and we are under no obligation to reissue it.
13. Referral programme
Any referral bonus is a discretionary incentive, not a commission or a contractual entitlement. We may change, suspend, withhold or withdraw it at any time, and may refuse a bonus where we reasonably believe the referral involves self referral, duplicate wallets, automation or any other abuse.
Referral codes carry no value, cannot be sold or transferred, and create no rights against the Company.
14. Wallets, transactions and your responsibility
You are solely responsible for the security of your wallet, private keys and recovery phrases, for using the correct network and asset, for sending to the correct address, and for any transaction fees.
Blockchain transactions are irreversible. We cannot recover, reverse or refund funds sent in error, sent on the wrong network, sent from a custodial or exchange account, or sent to any address other than the one published by us.
We will never contact you first asking for your private keys or recovery phrase, and we are not responsible for losses arising from phishing, impersonation, fraudulent websites, fake announcements or compromised third party accounts. Always verify addresses through our official channels.
15. Risks
Participation carries substantial risk. You confirm you understand and accept the following, which is not an exhaustive list:
- Total loss. You may lose the entire amount contributed, and may receive nothing.
- Indefinite timing. Any launch may be delayed for any period, without notice or explanation.
- Volatility. Cryptocurrency values can fall rapidly and without limit.
- No liquidity. There may be no market, no exchange listing, and no way to sell or exit.
- Regulation. Legal and tax treatment may change, which may restrict, delay, reduce or prevent the Project or any distribution.
- Technology. Smart contracts, bridges, wallets, exchanges and networks may contain vulnerabilities, fail, be exploited, or be attacked.
- Third parties. We rely on third party infrastructure and service providers whose failure may affect the Project.
- Project risk. The Project may change fundamentally, lose support, run out of funding, or be abandoned.
- Tax. Your contribution and any distribution may have tax consequences for you.
16. Forward looking statements
Any statement about the future, including plans, roadmaps, mechanics, sub projects, burn models, value loops, intentions and expectations, is a forward looking statement. It reflects a current view only, depends on factors outside our control, and is not a promise or a guarantee.
Marketing material, social media posts, community messages, interviews and comments by team members or community members are not contractual and do not form part of these Terms.
17. Use of contributed funds
Contributions become the property of the Company on receipt and may be used at our discretion for any purpose connected with the Project, including development, audits, infrastructure, liquidity, marketing, legal and professional costs, operating expenses and team costs.
Contributions are not held on trust or as client money for you, are not segregated for your benefit, and are not held in escrow unless we expressly state otherwise in writing. You have no claim over them.
18. Changes to the Project and to these Terms
We may change, suspend, discontinue or abandon any aspect of the Project, the Pre-Sale or our website at any time, without notice and without liability.
We may amend these Terms at any time by publishing the amended version on our website with an updated effective date. Continued participation after publication constitutes acceptance. You should review these Terms regularly.
19. Limitation of liability
To the fullest extent permitted by law, the Company, its founders, officers, employees, contractors, advisers and agents are not liable for any loss or damage arising out of or connected with the Pre-Sale, the Project, any token, our website, or these Terms, including loss of profit, loss of opportunity, loss of value, loss of data, business interruption, and any indirect or consequential loss, whether arising in contract, tort, negligence, breach of statutory duty or otherwise, and whether or not foreseeable.
Where liability cannot lawfully be excluded, our total aggregate liability to you is limited to the amount you contributed.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.
20. Indemnity
You agree to indemnify and hold harmless the Company and the persons listed in section 19 against any claim, loss, liability, cost or expense, including reasonable legal fees, arising from your breach of these Terms, your breach of any law, or your participation in the Pre-Sale.
21. Website, third party services and availability
Our website and any related interface are provided on an "as is" and "as available" basis without warranty of any kind. We do not warrant uninterrupted or error free operation, and figures displayed may be delayed, cached or inaccurate.
We use third party services including wallet providers, network infrastructure and analytics providers. We are not responsible for their acts, omissions, availability or security, and your use of them is subject to their own terms.
22. Data protection
We process limited information in connection with the Pre-Sale, including wallet addresses, transaction records, referral codes and website usage data. Our handling of personal data is described in our privacy policy.
Blockchain transactions are public and permanent by design. Wallet addresses and transaction details recorded on a public blockchain cannot be amended or erased by us.
23. Intellectual property
All branding, artwork, characters, names, logos, written material and website content connected with the Project remain our property or that of our licensors. Contributing grants you no licence or right to use them.
24. Force majeure
We are not liable for any failure or delay caused by events outside our reasonable control, including network failures, chain outages or reorganisations, exploits, cyber attacks, failures of third party infrastructure, changes in law, regulatory action, acts of government, natural events, civil unrest and armed conflict.
25. General
If any provision of these Terms is found to be invalid or unenforceable, it is to be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions continue in full force.
These Terms, together with any document expressly referred to in them, constitute the entire agreement between you and the Company in relation to the Pre-Sale, and supersede all prior statements, discussions and understandings.
No failure or delay by us in exercising a right operates as a waiver of it. You may not assign or transfer your rights under these Terms. We may assign ours. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship, and no third party may enforce these Terms.
26. Governing law and disputes
These Terms and any dispute arising out of or in connection with them are governed by the laws of British Virgin Islands, without regard to conflict of law rules. The courts of British Virgin Islands have exclusive jurisdiction.
Before commencing any proceedings, you agree to contact us at hello@dnut.life and to attempt in good faith to resolve the matter informally for a period of at least 180 days.
27. Contact
Questions about these Terms can be sent to hello@dnut.life. We only publish contribution addresses through our official channels. Always verify before sending anything.
By clicking "Buy", you accept these Terms and Conditions. You confirm that you have read and understood them, that your contribution is voluntary and is non refundable once the soft cap is reached, that you expect no profit and no launch date, and that you accept you may receive nothing.
